Diploma Collective is a DBA (Doing Business As) of BananaEdu LLC. These Terms and Conditions (“Terms”) govern the purchase, download, and use of digital resources from Diploma Collective (“Company”). By accessing or utilizing our materials, whether as a teacher or student, you agree to be bound by these Terms. Any violation may result in legal action, including but not limited to the revocation of your license and financial penalties.

1. License Grant and Authorized Uses

Upon purchase or authorized access, Diploma Collective grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the materials strictly for educational purposes, under the following conditions:

  1. For Teachers:

    • Classroom Use: You may use the resources only for direct instruction within your own classroom, including in a secure, closed online learning environment (e.g., Google Classroom, Microsoft Teams, Schoology, Blackboard). Access must be restricted to students enrolled in your classes.
    • Modification for Instructional Use: You may edit and customize the resources as necessary for your teaching needs. All modifications remain subject to these Terms and may not be shared beyond your direct instructional setting.
    • Printing and Distribution: You may print and distribute copies for students within your school only, provided the materials are not shared beyond your immediate classroom environment.

  2. For Students:

    • Personal Study Use: You may access and use the materials solely for your personal study, coursework, and academic purposes.
    • Restricted Access: You may not share login credentials or make the resources accessible to individuals outside of your immediate use (i.e., friends, classmates who do not have their own licenses, or the public).

2. Prohibited Uses

Regardless of whether you are a teacher or student, the following actions are strictly prohibited:

  • Unauthorized Sharing: Your license is granted for individual use only. Sharing materials (or login credentials) with other individuals, educators, colleagues, schools, or districts without purchasing additional licenses is prohibited.
  • Public Posting and Online Distribution: You may not upload or share these resources on public platforms, personal blogs, social media, or any websites that would make them publicly accessible via search engines.
  • Distribution Outside of Licensed Use: The materials are licensed for individual use only. District-wide use, multi-school sharing, or use beyond your direct educational context is prohibited unless prior written permission is obtained from Diploma Collective.
  • Resale, Redistribution, or Commercial Use: You may not resell, redistribute, sublicense, or claim ownership of any part of these materials. Uploading content to third-party marketplaces, free-sharing sites, or commercial platforms is strictly prohibited and constitutes intellectual property theft.
  • Use for Commercial Purposes: These materials are for non-commercial, educational purposes only. They may not be used in commercial workshops, training sessions, or any for-profit ventures without express written consent from Diploma Collective.

3. Intellectual Property Rights

All resources, including but not limited to text, graphics, templates, and presentations, remain the exclusive intellectual property of Diploma Collective (BananaEdu LLC) and are protected under applicable copyright and intellectual property laws.

  • No Transfer of Ownership: Purchasing or accessing a resource does not transfer ownership rights. It grants a limited, revocable license under these Terms.
  • Unauthorized Use: Any unauthorized reproduction, distribution, or modification of these materials constitutes copyright infringement and may result in legal consequences, including civil penalties.

4. Refund Policy

Due to the nature of digital products, all sales are final. No refunds, returns, or exchanges are provided under any circumstances. If you experience technical difficulties accessing a file, please contact diplomacollective@gmail.com for assistance.

5. Enforcement and Legal Compliance

Violations of these Terms may result in:

  • Immediate Revocation of License: Your access may be terminated without refund.
  • Legal Action: This may include claims for damages or injunctive relief.
  • Financial Penalties: Particularly for unauthorized distribution, resale, or sharing of materials.

Diploma Collective actively monitors copyright violations and unauthorized distribution. We reserve the right to pursue legal recourse as needed.

6. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through arbitration or mediation prior to litigation, unless otherwise stipulated by local law.
